Terms and Conditions of Sale

These terms and conditions govern the sale of goods by JRT Fencing Supplies Ltd (Company No: 16600602) to its customers. By placing an order with us, you agree to be bound by these terms and conditions.

1. Definitions and Interpretation

1.1 Definitions

In these terms and conditions:

  • "Company" means JRT Fencing Supplies Ltd, registered in England and Wales under company number 16600602
  • "Customer" means the person or entity placing an order with the Company
  • "Goods" means the fencing materials, products, and related items supplied by the Company
  • "Order" means the Customer's request to purchase Goods from the Company
  • "Contract" means the agreement between the Company and the Customer for the supply of Goods
  • "Business Day" means Monday to Friday, excluding UK public holidays

2. Orders and Acceptance

2.1 Placing Orders

Orders may be placed by telephone, email, through our website, or in person at our premises. All orders are subject to acceptance by the Company.

2.2 Order Acceptance

A contract is formed when the Company confirms acceptance of an order in writing (including by email) or by delivering the Goods, whichever occurs first. The Company reserves the right to refuse any order at its discretion.

2.3 Order Accuracy

Customers are responsible for ensuring all order details are correct, including product specifications, quantities, delivery addresses, and contact information. The Company is not liable for errors in orders caused by incorrect information provided by the Customer.

2.4 Product Availability

While we make every effort to maintain stock levels, all orders are subject to availability. If products become unavailable after an order is placed, we will contact the Customer to discuss suitable alternatives or provide a full refund.

3. Pricing and Payment

3.1 Prices

All prices are quoted in British Pounds (GBP) and are exclusive of VAT unless otherwise stated. The Company reserves the right to amend prices without notice, but price changes will not affect orders already confirmed.

3.2 Payment Terms

  • Cash Customers: Payment is due before or at the time of collection/delivery
  • Trade Account Customers: Payment terms are 30 days from invoice date unless otherwise agreed in writing
  • Large Orders: A deposit may be required for orders over £2,000

3.3 Payment Methods

We accept payment by cash, bank transfer, debit card, credit card, and for approved trade customers, payment on account. Card payments may be subject to additional processing fees.

3.4 Late Payment

For trade account customers, late payment may result in interest charges at a rate of 4% above the Bank of England base rate per annum. The Company reserves the right to suspend credit facilities and future deliveries if payment terms are not met.

VAT Registration

JRT Fencing Supplies Ltd is registered for VAT. VAT at the prevailing rate will be added to all applicable purchases. VAT receipts are provided upon request.

4. Delivery and Collection

4.1 Delivery Arrangements

Delivery charges vary based on location and order size. Delivery dates are estimates and not guaranteed unless expressly agreed in writing. The Company will make reasonable efforts to meet estimated delivery times.

4.2 Delivery Locations

Deliveries are made to the address specified by the Customer. Access must be suitable for delivery vehicles. The Customer must ensure someone is present to accept delivery. Additional charges may apply for failed deliveries due to Customer unavailability.

4.3 Risk and Title

  • Risk in the Goods passes to the Customer upon delivery or collection
  • Title to the Goods remains with the Company until payment is received in full
  • Customers must inspect Goods upon delivery and report any damage or shortages within 48 hours

4.4 Collection

Goods may be collected from our Bootle premises during business hours. Customers must bring valid ID and order confirmation. Collections should be arranged at least 24 hours in advance for large orders.

4.5 Unloading

Unless otherwise agreed, our drivers will deliver to ground level only. Unloading and placement of goods beyond the delivery point is the Customer's responsibility. Additional charges apply for off-loading services.

5. Returns and Cancellations

5.1 Consumer Rights

For consumers buying goods for personal use, you have the right to cancel your order within 14 days of receipt under the Consumer Contracts Regulations 2013. To exercise this right, contact us before the deadline.

5.2 Trade Returns

Trade and business customers may return unused, unopened products within 7 days of delivery, subject to a 20% restocking fee. Custom-made, cut-to-size, or special order items cannot be returned unless faulty.

5.3 Return Conditions

To be eligible for return, goods must be:

  • In original, unopened packaging
  • Unused and in resalable condition
  • Accompanied by original receipt or proof of purchase
  • Returned with prior authorization from the Company

5.4 Order Cancellation

Orders may be cancelled before dispatch without charge. Once goods have been dispatched or specifically ordered for you, cancellation may incur charges. Please contact us immediately if you wish to cancel an order.

5.5 Refunds

Approved refunds will be processed within 14 days using the original payment method. Delivery charges are non-refundable unless goods are faulty. Return shipping costs are the Customer's responsibility unless goods are defective.

6. Warranty and Quality

6.1 Product Quality

All goods are sold subject to manufacturer warranties where applicable. The Company guarantees that goods are of satisfactory quality and fit for their intended purpose at the time of delivery.

6.2 Natural Materials

Timber and natural products are subject to natural variations in color, grain, and texture. These variations are not considered defects. Timber products may expand, contract, or develop minor cracks due to weather conditions.

6.3 Defective Goods

If goods are found to be defective, the Company will, at its discretion, replace the goods or provide a refund. Claims for defective goods must be made within 48 hours of delivery with photographic evidence.

6.4 Installation

The Company is not responsible for installation of products unless specifically contracted to provide installation services. Incorrect installation voids any warranty claims.

Important Notice

Always check goods upon delivery before installation. Once products are installed, cut, or modified, they cannot be returned unless proven to be defective.

7. Limitation of Liability

7.1 Exclusions

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7.2 Limitation

Subject to clause 7.1, the Company's total liability for any claims arising from a contract shall not exceed the price paid for the goods in question.

7.3 Indirect Losses

The Company is not liable for indirect or consequential losses including but not limited to:

  • Loss of profits or business
  • Loss of contracts or opportunities
  • Loss of anticipated savings
  • Costs of labor or materials
  • Damage to property (except as caused by our negligence)

7.4 Product Usage

Customers are responsible for ensuring products are suitable for their intended use. We provide guidance but cannot guarantee suitability for every application. Professional advice should be sought for complex installations.

8. Intellectual Property

All intellectual property rights in our website content, product descriptions, images, and marketing materials belong to JRT Fencing Supplies Ltd or our licensors. Customers may not reproduce, modify, or distribute any content without written permission.

9. Data Protection and Privacy

9.1 Data Processing

9.2 Data Usage

We collect and use customer data to process orders, provide customer service, and fulfill our contractual obligations. We may also use data for marketing purposes where consent has been given.

10.2 Resolution Process

We will acknowledge complaints within 2 business days and aim to resolve issues within 14 days. If we cannot resolve a complaint to your satisfaction, you may be entitled to refer the matter to alternative dispute resolution services.

10.3 Governing Law

These terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. General Provisions

11.1 Force Majeure

The Company is not liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, or government restrictions.

11.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

11.3 Amendments

The Company reserves the right to update these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of revised terms.

11.4 Waiver

Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

11.5 Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between the Customer and the Company regarding the sale of goods.

11.6 Third Party Rights

These terms are intended solely for the benefit of the Company and the Customer. No third party has the right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.
